Our Commercial & Company lawyers advice and assist both buyers and selling during the complicated process of buying or selling a business. Where required, we liaise with our Commercial Property lawyers and Employment lawyers.

When acquiring a business, the proposed transaction must be fully investigated. In a purchase, “caveat emptor” (“buyer beware”) applies. Our Commercial & Company lawyers will examine all aspects of the deal and advise specifically on exactly what is being purchased, the benefits of acquiring it, the risks involved and what the aims and expectations are and whether they can be met.

Our Commercial & Company lawyers will advise upon or draft the purchase documentation and, if required, will assist in the price negotiation. As well as assessing the best structure for the enterprise, our Commercial & Company lawyers will take time to understand the business to be acquired, the reasons for buying and any specific commercial needs. This ‘rounded’ approach will help achieve a successful, timely and cost-effective solution.

When selling a business, our Commercial & Company lawyers will take the time to understand the business to be sold and the reasons for disposing of it. A business sale is largely the mirror image of the buying process, though with some key differences. These include issues relating to such matters as confidentiality and employment in addition to the consideration of warranties, indemnities and restrictive covenants contained within the Sale Agreement.
