When acquiring a business, the proposed transaction must be fully investigated. In a purchase, “caveat emptor” (“buyer beware”) applies. When selling a business, our Commercial & Company lawyers will take the time to understand the business to be sold and the reasons for disposing of it. A business sale is largely the mirror image of the buying process, though with some key differences. These include issues relating to such matters as confidentiality and employment in addition to the consideration of warranties, indemnities and restrictive covenants contained within the Sale Agreement.
